FinTech, Digital Assets, and Blockchain

Your product moves money or tokens. Regulators will ask how.

You're launching a payments feature, issuing a token, onboarding a stablecoin, or wrapping a real-world asset onchain. Each choice in the product flow decides which regulator you answer to, which licenses you need, and what you can say in your marketing.

I have worked inside blockchain and FinTech companies since 2021. At Ondo Finance I ran legal and commercial diligence on counterparties for the global launch of its tokenized stocks and ETFs, and worked with DeFi protocols integrating its tokens as collateral. I help you choose a structure regulators can accept, then build the compliance that lets you ship.

What I handle

  • Financial services regulatory strategy and licensing guidance
  • Securities law compliance, including Reg D, Reg S, and investment adviser questions
  • Stablecoin products, issuance arrangements, and payment integrations
  • Tokenized real-world assets: structuring, distribution, and DeFi collateral integrations
  • Consumer and commercial lending products and partner arrangements
  • Prediction markets and event contracts
  • DePIN networks: token design, incentives, and operator agreements
  • Marketing and advertising legal review frameworks
  • Regulatory due diligence for fundraising, partnerships, and M&A

Who this is for

Payments and lending companies, stablecoin and tokenization platforms, exchanges, DeFi protocols, prediction markets, and DePIN projects that need counsel who understands the technology without a tutorial on each call.

How the work runs

We start with a regulatory map of your product flow: who holds funds or assets, who your users are, and where they live. From there I recommend a structure, a licensing path, and the policies you need before launch. Retainer clients get this as ongoing counsel; launch reviews are quoted as fixed-fee projects.

Common questions

Does our app need a money transmitter license?

It depends on whether your product holds, transfers, or controls customer funds. Many payment products need licenses, but bank partnerships, agent-of-payee arrangements, and other structures can change the analysis. We start with a review of your funds flow.

How does money transmitter licensing work in the US?

Money transmitters register with FinCEN at the federal level, and licensing happens state by state, plus DC, each with its own rules, fees, and timelines. Many companies launch in a first set of states where their users are concentrated and expand from there.

Is our token a security?

The answer turns on how you sell the token, what buyers expect from it, and what the team does after launch. SEC and CFTC guidance on crypto assets keeps changing, so we review your token design, distribution, and marketing together and document the analysis.

Can tokenized real-world assets be used as DeFi collateral?

They can, with the right structure. The legal work covers who may hold the token, how transfer restrictions and KYC carry into the protocol, and what the protocol's risk team needs to see. I have worked on these integrations from the issuer side.
